1. Agreement to Terms

By accessing or using MemeProof (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

Your access to and use of the Service is conditioned on your continued compliance with these Terms and all applicable laws and regulations. MemeProof reserves the right to modify or update these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the revised Terms.

2. Description of the Service

MemeProof provides tools and services intended to assist users in recording, analyzing, and presenting information related to the creation, timing, and dissemination of digital content, including memes, images, and other media.

MemeProof does not determine legal ownership, authorship, copyright validity, or infringement status, and does not provide legal advice. All outputs, reports, timestamps, and verification signals generated by the Service are informational and evidentiary in nature only and should not be interpreted as legal determinations or guarantees.

3. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You represent and warrant that you have all necessary rights, permissions, and authority to upload, submit, analyze, or otherwise interact with any content you provide to the Service.

You are solely responsible for:

  • • Any conclusions you draw from the Service
  • • Any actions you take based on Service outputs

MemeProof is not responsible for disputes between users or third parties regarding content ownership, authorship, or rights.

4. Prohibited Uses

You agree not to:

  • • Use the Service in any manner that violates applicable laws or regulations
  • • Infringe or violate the intellectual property or other rights of others
  • • Misrepresent the Service's outputs as legal determinations or guarantees
  • • Attempt to interfere with, disrupt, or reverse engineer the Service
  • • Use the Service to harass, defraud, or mislead others

MemeProof reserves the right to suspend or terminate access for violations of this section.

5. Intellectual Property

MemeProof IP

All intellectual property rights in the Service, including software, design, branding, and documentation, are owned by MemeProof or its licensors. These Terms do not grant you any ownership rights in the Service.

User Content

You retain ownership of content you submit to the Service. By submitting content, you grant MemeProof a limited, non-exclusive, royalty-free license to use such content solely for the purpose of operating and improving the Service.

MemeProof does not claim ownership of user content and does not assume responsibility for disputes regarding ownership or authorship.

6. Verification Results and No Reliance

Outputs generated by the Service do not constitute:

  • • Legal advice
  • • Court-admissible findings
  • • Guarantees of originality, ownership, or non-infringement

You acknowledge that any reliance on Service outputs is at your own risk.

MemeProof does not guarantee that use of the Service will prevent infringement, misuse, or unauthorized distribution of content.

7. DMCA and Copyright Policy

MemeProof complies with the Digital Millennium Copyright Act (DMCA) and maintains a designated agent for receiving notices of claimed infringement.

Copyright claims are handled pursuant to MemeProof's DMCA Notice & Takedown Policy, available at /dmca.

In appropriate circumstances, MemeProof may disable or terminate access for users who are repeat infringers.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by law, MemeProof disclaims all warranties, whether express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.

MemeProof does not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, MemeProof shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

In no event shall MemeProof's total liability exceed the amount paid by you to MemeProof in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless MemeProof and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from:

  • • Your use of the Service
  • • Your content
  • • Your violation of these Terms
  • • Your violation of any third-party rights

11. Termination

MemeProof may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Service or other users.

Upon termination, your right to use the Service will immediately cease.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

13. Miscellaneous

These Terms constitute the entire agreement between you and MemeProof regarding the Service and supersede all prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

MemeProof's failure to enforce any right or provision shall not constitute a waiver.
